You may access Veyro only if you have full legal capacity to enter a binding agreement, are authorized to represent your business entity, and are not prohibited under applicable trade sanctions, embargoes, or export control regulations.

3.2 Account Registration & Precision

You agree to provide true, current, and complete corporate registration details. You remain solely responsible for safeguarding account credentials, rotating API keys, provisioning role-based permissions, and immediately reporting any unauthorized credential compromise.

3.3 Account Security Prohibitions

You must never publish secret API keys in public client applications or public code repositories, share passwords, circumvent role-based boundaries, or bypass automated security telemetry.

3.4 Organisation Governance

The registering organization is directly responsible for all actions executed under its workspace. Organization administrators must promptly revoke access tokens and seat allocations for departing team members.

4. Description of Services

Veyro provides unified payment orchestration and payment operations infrastructure. Available features include:

Unified REST/HTTP payment endpoints
Multi-gateway connector routing
Standardized webhook delivery engine
Integer minor unit zero-float arithmetic
Encrypted credential vault isolation
Real-time operations dashboard & logs

Beta Features: We may offer preview or experimental capabilities tagged as “Beta”. Such features are provided without warranty, may be modified without notice, and do not carry service level guarantees.

5. Nature of Veyro's Payment Orchestration Services

Software Layer Only — Non-Custodial Architecture

Veyro provides software technology infrastructure only. Under our business model, Veyro does not act as an acquiring bank, does not issue payment instruments, does not open merchant bank accounts, does not take possession of, pool, hold, or escrow merchant funds, and does not directly settle transactions.

5.3 Independent Merchant-PSP Contracts

Customers retain direct agreements with their payment gateways. Customers are solely responsible for compliance with gateway risk terms, merchant underwriting, rolling reserves, processing fees, and chargeback disputes.

5.4 Authorization Decisions

Payment authorizations, 3D-Secure challenges, and declines are determined exclusively by the respective gateway, card scheme, or issuing bank. Veyro does not dictate payment approval outcomes.

5.5 Direct Settlement

Funds collected through payment operations settle directly from your connected gateway into your merchant bank account. Veyro does not guarantee settlement timelines or availability of funds.

5.6 Regulatory Status

Veyro does not represent itself as a bank, financial institution, or licensed payment aggregator. Veyro operates as a pure technology and data routing provider.

6. Payment Provider Integrations

6.1 Authorizing Connectors

When you configure a connected gateway, you warrant that you possess valid authorization to deploy those credentials and authorize Veyro to dispatch transaction payloads in accordance with your configured routing rules.

6.2 Credential Protection

Customers must utilize restricted API tokens where supported, rotate credentials periodically, and immediately decouple compromised keys within the Veyro dashboard.

6.3 Third-Party Provider Changes & Disruptions

Payment gateways may deprecate APIs, modify fee structures, experience outages, or suspend merchant accounts. Veyro is not liable for service interruptions caused by third-party provider actions.

7. Customer Responsibilities

Customers are fully responsible for the compliance, legality, and operational execution of their commercial operations:

  • Regulatory Compliance: Adhering to applicable consumer protection, data protection, anti-money laundering (AML), tax, and regional electronic commerce regulations.
  • Merchant Products & Services: Delivering customer fulfillment, resolving cardholder refund requests, and defending chargebacks.
  • Data Transmission Discipline: Ensuring customer information is lawfully gathered with explicit legal grounds under privacy statutes. Prohibited payment authentication data must never be passed to Veyro.
  • Technical Implementation: Implementing robust idempotency keys, verifying HMAC webhook signatures, and handling asynchronous failure webhooks gracefully.

8. Acceptable Use and Prohibited Activities

You must use Veyro strictly for lawful commercial operations. You agree never to use Veyro to:

• Process fraudulent or card-testing traffic
• Facilitate money laundering or illegal acts
• Circumvent economic trade sanctions
• Distribute malware or intercept payloads
• Transmit stolen credit card numbers
• Conduct unauthorized vulnerability probing
• Evade API rate limits or abuse concurrency
• Access another customer's workspace or vault

For our exhaustive list of prohibited commercial activities and merchant categories, refer to our Acceptable Use Policy.

9. Fees, Pricing and Billing

9.1 Transparent SaaS Pricing

Platform fees are established in our Pricing Schedule or executed commercial order form. Veyro operates on a transparent SaaS tier model and does not take a percentage cut of your transaction processing volume.

9.3 Billing Cycles & Payments

Paid plans bill monthly or annually in advance. Subscriptions renew automatically unless cancelled prior to the conclusion of the active billing cycle.

9.6 Taxes & Invoicing

Listed prices exclude statutory taxes (such as GST or VAT). Customers are responsible for applicable taxes based on corporate residency.

9.7 Price Adjustments

Veyro may update service tier pricing upon reasonable advance written notice. Continued use following the renewal date reflects acceptance of updated terms.

10. Refunds and Cancellations

SaaS subscription cancellations and credit adjustments are governed by our Refund and Cancellation Policy. Customers may cancel subscription renewals at any time directly through the dashboard.

Refunds for underlying merchant payment transactions are initiated by the merchant directly through the relevant gateway; Veyro does not hold or disperse customer settlement capital.

11. Intellectual Property Rights

11.1 Veyro Platform Ownership

Veyro and its licensors retain exclusive title, copyright, patents, and trademarks in the hosted orchestration engine, API protocols, documentation, designs, and dashboard interfaces.

11.2 Limited Hosted License

Subject to these Terms and active subscription standing, Veyro grants a limited, revocable, non-exclusive, non-transferable license to access the hosted platform APIs solely for internal business operations.

11.3 Customer Data Ownership

Customers retain full ownership of Customer Data. Customers grant Veyro a restricted license to transmit, store, and display Customer Data strictly to provide the Services, maintain uptime, and comply with law.

12. Software Licences & Third-Party Components

Where specific developer client libraries, SDKs, or connector packages are published under open-source software licences (such as Apache 2.0 or MIT), those individual components remain governed by their respective repository licence files. Access to Veyro's multi-tenant hosted infrastructure remains governed by this Agreement.

13. Confidentiality

Each party agrees to hold the other's proprietary business materials, integration secrets, security documentation, and transaction data in strict confidence, exercising at least reasonable care, and using such information strictly to execute this Agreement.

14. Privacy and Data Protection

Personal data processing is governed by our Privacy Policy and, where applicable to customer merchant operations, our Data Processing Agreement (DPA).

15. Security and Customer Credentials

Veyro maintains SOC-2 and PCI-DSS aligned security safeguards as detailed in our Security Policy. Customers are prohibited from executing unauthorized penetration scans or load tests against production infrastructure without prior written coordination.

16. Third-Party Services

Veyro is not responsible for outages, service terminations, chargeback assessments, or settlement withholdings imposed independently by third-party payment gateways, bank rails, or card networks.

17. Service Availability and Maintenance

While Veyro targets continuous high availability, uninterrupted service is not guaranteed without an executed Enterprise Service Level Agreement (SLA). We provide advance notification for scheduled maintenance windows where practicable.

18. API Usage and Technical Restrictions

Customers must adhere to published API documentation, rate limits, and idempotency standards. Veyro reserves the right to throttle or temporarily restrict API keys generating anomalous volume that jeopardizes platform stability.

19. Indemnification

19.1 Customer Indemnification Scope

To the maximum extent permitted by law, Customer agrees to indemnify, defend, and hold harmless Veyro and its officers from third-party claims arising from: (a) Customer's breach of these Terms; (b) Customer's underlying commercial products, fraud disputes, or chargebacks; (c) Customer's violation of governing data protection laws; or (d) unpermitted transmission of sensitive authentication data.

20. Limitation of Liability

20.1 Consequential Damages Waiver

Neither party shall be liable for indirect, incidental, punitive, special, or consequential damages, including lost revenue, lost profits, or business interruption.

20.2 Liability Cap

Veyro's aggregate liability under this Agreement shall not exceed the total subscription fees paid by the Customer to Veyro in the twelve (12) months preceding the incident giving rise to liability.

20.3 Non-Excludable Rights

Nothing in these Terms limits liability for gross negligence, willful misconduct, fraudulent misrepresentation, or liabilities that cannot lawfully be limited under mandatory statute.

21. Suspension and Termination

Either party may terminate this Agreement upon material breach left uncured after thirty (30) days notice. Veyro reserves the right to immediately suspend access where required to contain active cyber threats, investigate fraud, or comply with legal orders.

22. Force Majeure

Neither party is liable for performance delays resulting from acts of God, armed conflict, government sanctions, telecommunications failures, power grid collapses, or distributed cyber-attacks beyond reasonable operational control.

23. Changes to These Terms

We may amend these Terms to reflect technical improvements or legislative changes. Material amendments will be communicated via dashboard notification and registered email at least thirty (30) days prior to taking effect.
